We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. New
features or releases are also subject to these Terms & Conditions.
3. Intellectual Property
Unless otherwise agreed in a written contract signed by both parties:
- All content, design, code, graphics, and materials on this website are the intellectual property of Iris
Coders, protected by copyright, trademark, and applicable laws.
- Upon full and final payment, the specific custom software deliverables created for a client will be
transferred to that client per the individual service agreement.
- Iris Coders retains all rights, title, and interest in pre-existing software modules, library functions,
frameworks, tools, methodologies, and training materials.
4. Payments
Clients agree to pay all fees and expenses in accordance with the payment schedule in the signed project
proposal or service agreement. Key payment terms include:
- Iris Coders reserves the right to suspend development or withhold deliverables if any payment becomes
overdue.
- All payments must be made in the currency specified in the invoice.
- Payments are non-refundable unless stated otherwise in the specific project agreement.
- Late payments may attract applicable interest or penalties as per the agreement.
5. Project Delivery
We make every effort to deliver software products and milestones within estimated timelines. Please note:
- Delivery dates are estimates and may be impacted by scope changes, feedback delays, or unforeseen
technical challenges.
- Iris Coders is not liable for losses or damages resulting from delivery delays outside our control.
- Any modifications to the project timeline must be mutually agreed upon in writing.
6. Client Responsibilities
To ensure successful project execution, the client agrees to:
- Provide timely and accurate feedback, approvals, and decisions throughout the project lifecycle.
- Provide necessary assets, database access, APIs, credentials, and business logic documentation required
for the project.
- Designate a primary point of contact for clear and consistent communication.
- Ensure all materials and information provided to Iris Coders do not infringe on any third-party
intellectual property rights.
- Review and sign off on deliverables within agreed timelines to avoid project delays.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Iris Coders, its directors, employees, or partners,
shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages,
including without limitation:
- Loss of profits, data, use, goodwill, or other intangible losses.
- Unauthorized access to or use of our servers and personal information stored therein.
- Interruption or cessation of transmission to or from our website.
- Errors, bugs, or omissions in the delivered software.
8. Termination
Either party may terminate a service agreement under the terms specified in the project contract. Upon
termination:
- The client is responsible for paying Iris Coders for all work completed, time spent, and expenses
incurred up to the date of termination.
- We reserve the right to suspend or terminate your access to our website or services immediately, without
prior notice, for any breach of these Terms & Conditions.
- All confidential information must be returned or destroyed upon request.
9. Governing Law
These Terms & Conditions and any disputes arising out of or related to our services or website shall be
governed by and construed in accordance with the laws of India. Any legal actions or proceedings shall be
brought exclusively in the courts located in Chennai, Tamil Nadu, India.
